  • How to use the Records
    This series comprises files relating to the registration of Foreign companies. Since 1897 all Foreign companies have been required under Section 70(1) of the Companies Act 1896 to lodge with the Government evidence of their incorporation, name and any significant practices or changes to the company's organisation.

    A Foreign company is a company operating within Victoria but formed or incorporated outside. In 1985 Foreign companies became known as Recognised companies.

    The Public Record Office only holds files of Foreign companies registered by 1984.

    This series has previously been titled Defunct Foreign Company Files. The title has been changed to reflect the original function of the series.

    Individual files will contain documents such as:

    a certified copy of the company's memorandum / articles of association and certificate of incorporation

    statutory declarations verifying appointment of agents and balance sheet of the Foreign company

    statutory declarations by the agent of the Foreign company

    notifications of changes of address or directors

    deregistration documents.

    Filing process

    An envelope or plastic pouch was created for each company. Each envelope or pouch is controlled by a company number allocated when the company was first registered (see below). The number is prefaced by the letter "F" (for Foreign) to distinguish the file from other company registration sequences. Most documents received relating to a particular company were placed in the envelope or pouch for that company. Each document was also sequentially numbered within the envelope upon receipt.

    Indexes and Registers

    Company and document numbers were initially allocated from a sequence of bound registers (VPRS 8272). Entries detail the company name and number and for each item received, the document number and a description.

    No indexes other than the microfiche index (see below) have been identified to date.

    The registers were replaced in 1972 by a card register system. These cards were destroyed by Corporate Affairs Victoria (CAV) during 1991, after microfilming.

    In 1982 a computer control system was introduced which incorporated detail for all Foreign company registrations allocated to that time as well as new companies subsequently registered. Two computer generated microfiche indexes were generated from this system for archival use. One of these series (VPRS 8268) relates to defunct registrations and the other (VPRS 8267) covers registrations which were still current at the end of August 1990.

    Other Company filing sequences in custody

    Company debentures were not stored within the envelopes or pouches. These were controlled by a separate sequential number sequence prefaced by the letter "D" (VPRS 1413). The company number does not appear to have been utilised in this instance. (For further information refer to the series registration for VPRS 1413.)

    Foreign company registration files post 1984

    In 1984, CAV decided to incorporate Foreign company registration files into its established microfilming program. Accordingly it began a program which resulted in the microfilming of all files relating to registrations current at that time.

    Once a paper file was filmed, any paper documents subsequently received were also filmed and incorporate into the microfiche company file.

    Responsibility for company registrations was transferred to a Commonwealth agency - the Australian Securities Commission - at the start of 1991. All of the microfiche files are currently maintained by that agency.

    Relationship of this series to VPRS 6624 Recognised Company Registration Files

    The files in this series and VPRS 6624 are part of the same record keeping system. The contents of VPRS 6624 relate largely to registration which were current in 1984 whereas the contents of this series relates largely to companies still which became defunct prior to 1984. There are also a number files within the original consignment of this series which pertain to registrations current at that time. These have subsequently become known as Recognised Company registrations.

    Users wishing to retrieve a Recognised company file must therefore obtain the registration number from either VPRS 8267 or VPRS 8268. The record description lists for both VPRS 6624 and VPRS 934 may need to be consulted.

    In requesting Recognised company registration files, researchers should keep in mind two key factors:

    1. The microfiche indexes (VPRS 8267 and VPRS 8268) contain detail on all registrations up to the end of August 1990 but PROV does not maintain any files for registrations established from 1984.

    2. The only complete Recognised company registration files are the microfiche files which are currently maintained by the Australian Securities Commission and not PROV.
